1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the website located at https://quantecinsight.co.ke/ (the "Site"), together with any content, functionality and services offered on or through the Site, and any consultancy services provided by Quantec Insight ("we", "our", "us").

By accessing the Site, submitting an enquiry, or engaging us for any service, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must not use the Site or engage our services.

Where a separate written agreement (such as a proposal, engagement letter, or contract for services) has been signed between you and Quantec Insight, that agreement will prevail over these Terms to the extent of any conflict.

Quantec Insight is a research, monitoring & evaluation, data analytics and economic policy consultancy registered in Kenya (Business Number: BN-ZMCX77BZ). Our registered place of business is Nairobi, Kenya.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. In particular, you must not:

• Use the Site in any way that breaches applicable local, national or international law or regulation.
• Attempt to gain unauthorised access to the Site, its servers, or any systems or networks connected to it.
• Introduce viruses, trojans, worms, logic bombs or any other malicious or technologically harmful material.
• Scrape, harvest, or systematically extract content or data from the Site without our prior written consent.
• Use the Site to transmit unsolicited advertising or promotional material.
• Reproduce, duplicate, copy or re-sell any part of the Site in contravention of these Terms.

4. Intellectual Property

All content on the Site — including text, graphics, logos, images, case studies, reports, downloads, and the underlying code — is owned by or licensed to Quantec Insight and is protected by Kenyan and international copyright, trademark and other intellectual property laws.

You may view, download and print pages from the Site for your own personal or internal business reference, provided you do not modify the content and you retain all copyright and proprietary notices. Any other use, including reproduction, distribution, modification, or republication, requires our prior written consent.

5. Services and Engagements

Any description of services on the Site is provided for general information only and does not constitute a binding offer. An engagement between you and Quantec Insight only arises when a written proposal, engagement letter or contract has been signed by both parties (or otherwise expressly agreed in writing by us).

The scope, deliverables, timelines, fees and any specific terms applicable to a particular assignment will be set out in the relevant engagement document and will form part of these Terms by reference.

6. Client Obligations

Where you engage us for services, you agree to:

• Provide accurate, complete and timely information and materials reasonably required to perform the services.
• Ensure that any data or materials you provide do not infringe the rights of any third party and comply with applicable law, including data protection law.
• Obtain any consents or permissions necessary for us to process personal data that you provide to us.
• Nominate a point of contact with authority to give instructions and approvals on your behalf.
• Pay all fees due in accordance with the agreed payment terms.

We will not be liable for any delay, loss or additional cost arising from your failure to meet these obligations.

7. Fees and Payment

Unless otherwise agreed in writing, fees for services are quoted exclusive of applicable taxes (including VAT) and disbursements, which will be added where applicable. Invoices are payable within the period stated on the invoice, typically thirty (30) days from the date of issue.

Late payments may attract interest at a rate specified in the engagement document, or where no rate is specified, at a commercially reasonable rate not exceeding the maximum permitted by Kenyan law. We reserve the right to suspend or terminate services where invoices remain unpaid beyond the stated credit period.

8. Confidentiality

Each party may receive confidential information belonging to the other in the course of an engagement. Each party agrees to keep such information confidential, to use it only for the purposes of the engagement, and to disclose it only to personnel or advisers who need to know it and who are bound by equivalent confidentiality obligations.

These obligations do not apply to information that is or becomes publicly available without breach, that was lawfully in a party's possession before disclosure, or that must be disclosed by law or regulation.

9. Data Protection

We process personal data in accordance with the Kenya Data Protection Act, 2019 and our Privacy Policy, which forms part of these Terms. Where we process personal data on your behalf as part of an engagement, the specific arrangements will be set out in the relevant engagement document or a separate data processing agreement.

10. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. While we make reasonable efforts to keep the information on the Site accurate and up to date, we make no warranties or representations of any kind, express or implied, regarding the completeness, accuracy, reliability or suitability of the Site or its content for any purpose.

Nothing on the Site constitutes professional advice (whether legal, financial, tax, economic or otherwise) on which you should rely without obtaining specific advice tailored to your circumstances.

11. Limitation of Liability

To the maximum extent permitted by law, Quantec Insight will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the Site or any service, whether based in contract, tort, negligence, strict liability or otherwise.

Our total aggregate liability arising out of or in connection with any engagement is limited to the total fees actually paid by you to us for the specific engagement giving rise to the claim, unless otherwise agreed in writing.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation.

12. Indemnity

You agree to indemnify and hold Quantec Insight, its partners, employees and associates harmless from any claims, losses, liabilities, damages, costs or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your breach of any law or the rights of a third party.

13. Third-Party Links

The Site may contain links to third-party websites or resources. These links are provided for convenience only. We have no control over, and accept no responsibility for, the content, privacy practices or availability of any third-party site.

14. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms. Termination of an engagement for services will be governed by the terms set out in the relevant engagement document.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements or regulatory guidance. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after the effective date of an update constitutes your acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Republic of Kenya. The courts of Kenya have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any right you may have to refer a matter to an alternative dispute resolution mechanism agreed in writing.
